1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website at canaryflow.ai and the AI visibility monitoring platform at app.canaryflow.ai (together, the "Service"), operated by CanaryFlow AI Ltd ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Accounts

To use the Service, you must create an account using your email address. We use passwordless authentication (magic links) to sign you in. You are responsible for:

• Maintaining the security of the email account used to log in
• All activity that occurs under your account
• Notifying us promptly at [email protected] if you become aware of any unauthorised access

We may suspend or terminate your account if we reasonably believe it has been compromised or is being used in violation of these Terms.

4. The Service

CanaryFlow AI provides AI visibility monitoring and optimisation services for brands. The Service includes:

• AI search visibility monitoring across platforms such as ChatGPT, Perplexity, Gemini, and Google AI Overviews
• Displacement and demand analysis
• Workspace and team collaboration features
• Reporting and analytics dashboards

The Service relies on third-party AI models and data providers. Results are generated algorithmically and may vary. We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.

5. Fees and Payment

Access to the Service is subject to fees as agreed between you and CanaryFlow AI Ltd under a separate service agreement or proposal. Unless otherwise agreed in writing:

• Fees are as set out in your service agreement and are payable in accordance with the terms specified therein
• All fees are exclusive of VAT unless stated otherwise
• We reserve the right to suspend access to the Service if payment is overdue by more than 14 days

6. Intellectual Property

Your data: You retain all rights to the data you provide to the Service, including brand information, product data, and any content you upload. You grant us a limited licence to use this data solely to provide and improve the Service.

Our platform: The Service, including its design, software, algorithms, documentation, and branding, is owned by CanaryFlow AI Ltd and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

7. User Responsibilities

When using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to the Service, other accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicence, or redistribute access to the Service without our written consent
• Provide false or misleading information

8. Third-Party Services

The Service integrates with and relies on third-party services, including:

• AI model providers (OpenAI, Anthropic, Google, Perplexity) for visibility analysis
• DataForSEO for search engine and AI Overview data
• Supabase for authentication and data storage
• Cal.com for scheduling (embedded on our website)

These services are governed by their own terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In particular, we do not warrant that:

• AI-generated outputs will be accurate, complete, or up to date
• The Service will be uninterrupted, error-free, or free from harmful components
• The Service will meet your specific requirements or expectations

AI visibility data is provided for informational purposes and should not be relied upon as the sole basis for business decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill
• Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12. Termination

Either party may terminate access to the Service at any time by providing written notice to the other party. We may also suspend or terminate your access immediately if:

• You breach any provision of these Terms
• Payment is materially overdue
• We are required to do so by law or to protect the security of the Service

Upon termination, your right to access the Service will cease. You may request deletion of your data in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page.
